Terms and Conditions for Web3D Resellers

ARTICLE 1. OBJECT OF THE CONTRACT.
WEB3D is an online platform that allows the automated creation of an interactive website for presenting and marketing a real estate project on its own domain.
The RESELLER is an audiovisual studio that offers architectural visualization services to companies in the real estate sector and creates the content used for WEB3D.
Through the signing of this contract, WEB3D aims to offer the RESELLER the opportunity to use and market the WEB3D platform to their clients.

ARTICLE 2. MARKETING METHOD.
WEB3D provides the RESELLER with a link on its website with a price list for resellers of the platform service for marketing purposes. The prices are valid until the specified date on the page and may be changed without prior notice once the validity period expires.
The RESELLER offers and negotiates the platform price freely with their clients based on their knowledge of each client and project. WEB3D provides a regular price as a sales reference.
The RESELLER will be responsible for contracting and paying for the platform service to WEB3D when requested and confirmed by their client.
The platform service has an initial cost that includes: SaaS (Software as a Service) license for WEB3D Domain registration (Regular Price up to USD 15) (Non-Premium, non-refundable if the client has their own domain)SSL Security CertificateInitial configuration and content uploadAdministration panel for sellersFirst year of online service maintenance.
After the first year, the RESELLER must pay for the annual renewal to maintain the service.
The annual renewal price may be updated and the RESELLER will be notified 30 to 15 days before its expiration for renewal.
WEB3D offers the RESELLER the possibility of providing free platform demonstrations to show their clients, and to create examples with their own content. These demonstrations may be deactivated or removed without prior notice if WEB3D determines it.

ARTICLE 3. SERVICE CONFIGURATION AND UPLOAD.
Once the license payment is made by the RESELLER, the initial configuration and upload can proceed for the creation of the project's website.
WEB3D will handle the entire configuration and upload of all the information to the platform and generate the website for the project on a demonstration domain for review. Once approved by the RESELLER, the website will be published on the official domain.
The RESELLER must provide all the information and content, including images, videos, 360 tours, PDF brochures, general information, and details about each real estate unit of the project.
The RESELLER may submit preliminary content for WEB3D to load and perform tests on the platform.

ARTICLE 4. PLATFORM INFORMATION AND CONTENTS.
All information and content for the platform must be provided by the RESELLER.
WEB3D will not be responsible for the information or content displayed on the website. Responsibility lies with the owner of the real estate project or the owner of the website created with WEB3D.

WEB3D is not responsible for any commercial offer or promise made within the website.

WEB3D is not responsible for any errors in the information or content published on the website.

The control of information and content is the responsibility of the RESELLER or their client.

WEB3D allows uploading project information and content without a set capacity limit; the limit will depend on the number of images, videos, and 360 tours provided by the RESELLER and the platform's available functionalities for the projects.

WEB3D will not be responsible for the information and/or content stored on the platform. The RESELLER should keep copies of the content in case of data loss for recovery purposes.
Once the website is finalized and published on the official domain, for any modifications or additional content uploads, the RESELLER must send the changes to WEB3D for updates. The time for completion by WEB3D may range from 1 to 5 business days, depending on the requested update.

The cost for these updates is included in the annual WEB3D maintenance, as long as these updates do not involve significant changes to the project's structure. If it's a major update, an additional charge may apply, not exceeding $300, which is the average cost for a full project upload to the platform.

ARTICLE 5. VALIDITY AND PLATFORM UPLOAD TIMELINES.
Once the platform service payment is made, the RESELLER has up to 6 months to submit complete project information and content for configuration and uploading the website to the platform. If more time is needed, an extension of up to 6 more months can be requested in writing via email to maintain the service. Otherwise, WEB3D may deactivate the service and terminate the contract.
The website will be activated when it is registered and/or published on the client's official domain, and from that moment, the renewal period for the service will begin.
The content upload and configuration by WEB3D will take between 5 to 15 business days, starting when the RESELLER provides the content.

ARTICLE 6. SERVER AND DOMAIN OF A PROJECT.
WEB3D is a service that operates exclusively on its own servers. WEB3D operates online on cloud servers. Our platform primarily uses Google Cloud services for its operation.
The platform covered by this contract, as well as the data generated by its use (Database), is stored on Google Cloud's Data Centers/Servers (an international provider), offering high availability and response time.
Data transactions between the user and the virtual server are made via secure encrypted SSL access. WEB3D reserves the right to change its virtual server provider without notifying users, ensuring that the new provider offers equal or better services and features.
A website created by WEB3D cannot be copied and/or stored on third-party servers.
For WEB3D to function, a domain or subdomain is mandatory, which must be configured in DNS pointing to WEB3D's server IPs provided for configuration.
Temporarily, for demonstration purposes, a subdomain from WEB3D will be provided for the website to function until the configuration and content upload are complete, after which it will be published on the client's official domain.

ARTICLE 7. OWNERSHIP AND USE OF CONTENT.
By submitting the information and content, the RESELLER grants WEB3D the right to use this information and content to configure, upload, and create the website on the platform.
WEB3D is not responsible for the intellectual property of the content. All content must have the necessary licenses for use, and it is the RESELLER's responsibility to ensure that all content complies with the intellectual property rights of its creators.
Once the website is published on the official domain, WEB3D is authorized to use the content and take screenshots of the website for generating content, making publications, and promoting the platform without restriction. WEB3D may display its name and a link to its website as credit for using the platform.
The RESELLER or client may request that WEB3D's credits not be shown on the project website.
The RESELLER may not use WEB3D's or third-party examples and content to publish online on their website, social media, or public access portals without prior written authorization from their owners.
The RESELLER may use the information and examples published on the official WEB3D website in private presentations or direct email contact (not email marketing) with clients to communicate the platform, but must clarify that the content is from third parties if showing examples that are not their own.
All design and template interface of the platform is the property of WEB3D and may not be copied by the RESELLER to other systems or software.
WEB3D may make design changes and template updates without prior notice to improve the user experience.

ARTICLE 8. INFORMATION CONFIDENTIALITY.
WEB3D is committed to maintaining confidentiality of project information until the website is published on the demonstration domain. Once the information and content are published, they will be publicly accessible via the subdomain assigned to the platform.
WEB3D will keep confidential all project information and content that is provided and not published, such as plans, 3D models, technical PDFs, and price lists.

ARTICLE 9. PAYMENT METHOD FOR THE SERVICE.
The WEB3D service can be paid via bank transfer to the company’s account in Panama.
Once the service is confirmed, all details for making the payment via transfer from the bank will be provided.
The published price of the service does not include transfer fees or taxes, which will be calculated and added to the price once determined.
The annual renewal payment will be notified 30 to 15 days in advance and must be paid before its due date.
In case of non-payment, WEB3D may deactivate the service and delete all information and content related to the project.

ARTICLE 10. DATA PROTECTION AND PRIVACY POLICIES.

The Privacy Policies are incorporated into every website created by the WEB3D platform.
The RESELLER or client must provide the necessary information to complete the disclaimer that must be included on each website created with the WEB3D platform.ARTICLE 11. USERS AND SELLER PANEL ACCESS.
Each website created with the WEB3D platform is provided with access to the seller panel, which allows the management of unit status (Available, Reserved, Sold), operation type (Sale or Rent), and the ability to download a contact list received by the platform during a specified period.
Users and access to the seller panel must be requested from WEB3D.
Each website may have multiple seller users for accessing the panel if desired.ARTICLE 12. RESPONSIBILITIES.
WEB3D will not be responsible for any loss of profit or damage due to the use, operation, or performance of the software, being only responsible for actions taken to meet its obligations according to this contract.
WEB3D will not be responsible for any failure to meet its obligations if its performance is reasonably impeded, interfered with, or delayed by circumstances beyond WEB3
